    1. Agreement to These Terms

    By using this website or purchasing services from LabScale AI LLC, you agree to these Terms.

    2. What We Provide

    We provide training and educational services, including bootcamps and workshops (onsite or virtual) for teams and individuals, plus any related materials we provide.

    We also offer consulting services on an hourly or fixed-scope basis. Consulting services are provided under a written proposal, Statement of Work (SOW), or invoice description that outlines scope, fees, and deliverables. If there is a conflict between these Terms and a signed SOW/proposal, the SOW/proposal controls.

    3. Educational Purpose and Disclaimer

    Our services and materials are for educational and informational purposes only. We do not provide legal, regulatory, medical, or financial advice. You are responsible for how you apply anything learned during training.

    Any recommendations, templates, workflows, or example outputs are provided for informational purposes and require your review and approval. We do not guarantee outcomes, time savings, cost savings, or regulatory acceptance.

    4. Scheduling and Delivery (Training Sessions)

    After scheduling, we will confirm session details such as:

    • Date/time and format (virtual unless agreed otherwise)
    • Participant count
    • Any client constraints (for example, internal AI/data policies)

    5. Recording Policy

    • Sessions are not recorded unless the client requests a recording.
    • If recorded, the recording is provided to the client for internal use only.
    • We will not share, publish, or distribute recordings outside the client organization without the client's prior written consent.

    6. Scope and Change Requests

    Consulting is limited to the scope described in the proposal/SOW. Requests outside scope may require additional fees, a revised timeline, or a new SOW.

    7. Client Responsibilities (Data and AI Usage)

    Because AI tools and policies vary by organization, the client is responsible for:

    • Ensuring participants follow the client's internal policies for confidentiality, privacy, and data security
    • Not sharing sensitive or confidential information in ways that violate applicable law or client policies
    • Reviewing and verifying outputs before using them in regulated or high-stakes contexts

    You are responsible for ensuring any information you share with us can legally be shared and complies with your internal policies. Do not provide sensitive personal data (e.g., PHI) unless we agree in writing on handling.

    8. Payments and Invoicing

    We may accept payment by invoice (including Stripe Invoicing) and may accept card payments via Stripe if enabled.

    Hourly consulting is billed at the rate stated in the proposal/SOW or invoice. Fixed-scope work may require an upfront deposit or milestone payments as stated in the proposal/SOW or invoice.

    Invoice terms: due upon receipt. The client is responsible for any taxes required by law.

    9. Rescheduling, Cancellations, and Refunds

    Written notice is required.

    • Rescheduling: The client may reschedule with at least 7 days' written notice. Rescheduled sessions are subject to availability.
    • Cancellations: The client may cancel with at least 7 days' written notice. Cancellations with 7+ days' notice receive a credit that can be applied to a future session scheduled within 90 days.
    • Less than 7 days' notice: Sessions cancelled or rescheduled with less than 7 days' notice are non-refundable and may be billed in full.

    10. Intellectual Property and Permitted Use

    Unless we agree otherwise in writing:

    • LabScale AI LLC owns the training content, frameworks, templates, slides, and materials we provide.
    • The client may use the materials internally across the client organization (for internal training and operations).
    • The client may not share, sell, publish, or distribute the materials outside the client organization (including to affiliates, partners, vendors, or other companies) without our prior written permission.

    11. Testimonials and Marketing

    We may only use client testimonials, quotes, logos, or case studies with the client's prior written approval.

    12. Website Acceptable Use

    You agree not to:

    • Attempt to disrupt or compromise the website
    • Use the site to transmit malicious code
    • Copy/scrape website content at scale without permission

    13. Third-Party Services and Links

    Our website and services may reference third-party services (for example, Mailchimp, Google Analytics, Calendly, Stripe, Zoom). We are not responsible for third-party services or their policies.

    14. Limitation of Liability

    To the maximum extent allowed by law:

    • We are not liable for indirect, incidental, special, consequential, or punitive damages.
    • Our total liability for any claim relating to the services will not exceed the amount paid to us for the services that gave rise to the claim.

    15. Indemnification

    You agree to indemnify and hold harmless LabScale AI LLC from claims arising out of your misuse of the website or violation of these Terms.

    16. Governing Law

    These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of laws rules.

    17. Changes to These Terms

    We may update these Terms from time to time. The updated version will be posted on this page with a new effective date.
